Terms of Sale

CLIENT RESPONSIBILITY

The Client is responsible to review and confirm all terms and conditions of the sale. The Idea Hunter and vendor/supplier/talent will not be held responsible for any incorrect information provided by the client (i.e. date, time, talent, etc.).

Upon signing this agreement, both the Client and The Idea Hunter/ vendor/supplier/talent consider all terms and conditions stated within as agreeable.

COVID-19

Clients planning live events assume the risks known to be associated with the current state of the world and acknowledge that Covid is part of everyday life and no longer qualifies as a force majeure event. The Idea Hunter/vendors/suppliers/talent acknowledges that a province-wide lock down preventing the event from happening would be considered a force majeure event. If the Client cancels the event(s) due to concerns or potential pre-event exposure to the Client's guests, staff, and subcontractors, the terms in the Cancellation clause will apply. Re-booking fees will be applied

It is the Client's responsibility to adhere to all provincial and federal Covid rules and regulations. It is also the Client's responsibility to inform the vendors/suppliers/talent booked prior to confirming the service of any Covid requirements that the talent will need to complete, comply to, or provide onsite. (i.e. Covid testing onsite, Covid questionnaires, proof of vaccination, specific requirements etc…). If the Client fails to provide this information and the vendors/suppliers/talent is unable to perform or work the event, no refunds will be provided. In addition, if Covid rules are not being followed onsite and the vendors/suppliers/talent is not comfortable, they need to inform the client and will hold on performing/working until the issues are rectified. This delay can incur additional fees and would be invoiced to the client post event.

Should talent be unable to perform due to testing positive for Covid, being in contact with someone who has covid, or experiencing symptoms of covid, The vendors/suppliers/talent will do their best to find a suitable replacement. If they are unable to provide an alternative solution, the Client will receive a full refund.

PERMITS AND LICENSES

Should permits and licenses be required prior to the event date, it is the client's responsibility to obtain.

CONNECTION ISSUES | VIRTUAL EVENTS

Vendors/suppliers/talent are not responsible for attendees experiencing connection issues with latency, frozen screens, poor quality audio or visual, disconnecting, etc. due to attendees Wi-Fi signal or wired connection. If a client chooses to use vendors/suppliers/talent virtual platform, it is understood that any technical difficulties caused by the platform are not at the fault of vendors/suppliers/talent. The Client acknowledges that vendors/suppliers/talent is not an AV/tech expert and will do their best to fix any unexpected issues but cannot be held responsible for anything outside of their control. If the connection issues are caused by vendors/suppliers/talent, they will do their best to fix the issue. If the issue cannot be fixed, they will reschedule the event for a later time / date or provide a full refund.

LIABILITY

2777664 ontario inc o/a The Idea Hunter and the vendors/suppliers/talent booked on The Idea Hunter Social shall not, under any circumstances, be liable to the client for any amount, whether as indirect, incidental, consequential, special or exemplary damages arising out of or in connection with its provision of the services whether based on breach of contract, breach of warranty, tort (including negligence, product liability or otherwise), or any other pecuniary loss, whether or not advised of the possibility of such damages. If The Idea Hunter or any of the vendors/suppliers/talent booked on The Idea Hunter social is found to be liable to the client by a court of competent jurisdiction for any harm or loss, such liability shall be restricted to the aggregate compensation paid by the client to the idea hunter for the services set out herein.

If this Agreement is frustrated by an event, including but not limited to travel and border issues, that prevents The Idea Hunter and its subcontractors from providing the Services for reasons beyond the control of the vendors/talent/suppliers contracted, those vendors/talent/suppliers are not responsible or liable for any damages whatsoever.

DIGITAL ACTIVATIONS

In the event that digital files are lost, stolen, or destroyed for reasons beyond the vendors/suppliers' control, including but not limited to photobooth, camera, hard drive, or Equipment or software malfunction, before they are provided to the Client pursuant to the terms of this Agreement, the vendors/suppliers' liability is limited to the return of all payments received for the Services, less Expenses incurred. The limit of liability for a partial loss of originals shall be a prorated amount of the exposures lost based on the percentage of total number of originals. The Vendor/Supplier are not liable for damages beyond the refund of any payments received.

SHIPPING/DELIVERY

If the services contracted herein include shipping/delivery, the following conditions will apply.

  • Vendor/supplier/talent is not responsible for shipments that are lost, delayed, stolen, refused by recipient, or damaged in shipment.

  • It is the Client's responsibility to confirm the provided Guest addresses are up to date.

FORCE MAJEURE

Should events beyond the reasonable control of the Parties, including but not limited to (1) acts of God, (2) war, including armed conflict (3) strikes or labour disputes, (4) regulations or advisory of public authorities, (5) unseasonable extreme inclement weather, (6) epidemic/pandemic, (7) interruption of or delay of transportation service which would materially affect attendees and vendors from attending the event, (8) civil disturbances at the, or in the general area of, the venue, (9) disaster, fire, earthquakes, hurricanes, (10) shortages or disruption of the electrical power supply causing blackouts or rolling blackouts or other essential utilities in the area of the venue, or (11) any other event beyond the reasonable control of the Parties provided that such causes could not have been reasonably foreseen, making the event impracticable to perform, illegal, or impossible to fully perform under this Agreement as the Parties originally contracted, the following conditions will apply.

  • Notwithstanding any other provision of this agreement, the Client will not have a claim against The Idea Hunter or the vendor/supplier/talent contracted if one or more performances are prevented or rendered impossible due to force majeure.

  • In the event of a Force Majeure situation, the vendor/supplier/talent has the option to:

    • Provide a credit for 1 year to be applied to a new event date

    • Cancel the contract and provide a full refund to the client less any expenses paid in preparation of the event + 20% administrative fee on the value of the contract.

CANCELLATION

In the event that the Client cancels for any reason outside of a Force Majeure event, the below amounts will be applied.

Cancellation Payment Terms:

Upon Signing the contract100% payment is due and 50% of the payment is considered a non-refundable deposit.
Within 30 days leading up to your event100% of the payment becomes non-refundable

In the event that vendor/supplier/talent contracted cancels, the Client will be provided with a full refund for any services not yet provided at the time of cancellation.

PROPRIETARY

All ideas and concepts designed by The Idea Hunter remain the property of The Idea Hunter and may not be used in the future without written permission.

PROMOTION

The Idea Hunter/vendor/supplier/talent reserves the right to showcase the event on their website, social media, and in promotional materials.


This Contract will be construed in accordance with and governed by the laws of the province of Ontario.
